Effective September 13, 2026
1. Agreement and eligibility
By creating an account, accepting a workspace invitation, purchasing a plan, or otherwise using PermitLoom, you agree to these Terms of Service and the Privacy Policy. You must be able to form a binding contract and use the service for legitimate business purposes. If you do not agree, do not use the service.
2. The service
PermitLoom provides tools to organize permits, licenses, requirements, evidence, deadlines, tasks, and related compliance operations. The service helps teams manage information and workflows; it does not provide legal, regulatory, accounting, or professional advice and does not guarantee that a business is compliant, licensed, or cleared to operate. You remain responsible for confirming requirements with qualified advisers and the relevant authorities.
We may improve, add, modify, or discontinue features. If a change materially reduces the core functionality of a paid plan, any remedies will be those required by law or stated in an applicable Order Form.
3. Accounts and workspaces
You must provide accurate account information, protect your credentials and private links, and promptly report suspected misuse. Workspace owners and admins control access and are responsible for assigning appropriate roles, removing former users, and ensuring they have the right to add, use, and share workspace content.
Owners may transfer or delete a workspace using available controls. We may rely on the instructions of the recorded workspace owner. You are responsible for exporting any records you must retain before deleting a workspace or account.
4. Customer content
As between you and PermitLoom, you retain your rights in content you submit. You grant PermitLoom a non-exclusive, worldwide license to host, copy, process, transmit, display, and otherwise use that content only as needed to provide, protect, support, and improve the service, comply with law, and follow your instructions.
You confirm that you have the rights and permissions needed for the content and personal data you provide. Do not upload illegal material, malware, unnecessary sensitive personal data, or content that infringes another person’s rights. Workspace content is not made public by PermitLoom, but users can intentionally create recipient or report links; you are responsible for their scope and distribution.
5. Acceptable use
You must not:
- break the law, violate another person’s rights, or facilitate harmful conduct;
- probe, disrupt, overload, bypass, or compromise the service or its security controls;
- access data or accounts without authorization or share access credentials improperly;
- upload malicious code or use automated means that unreasonably burden the service;
- reverse engineer the service except where that restriction is prohibited by law; or
- resell or commercially exploit the service except under a written agreement.
6. Paid plans and billing
Paid-plan pricing, included usage, billing interval, and any negotiated terms are shown at checkout or in an Order Form. Paddle may act as merchant of record and handle payment, tax, invoices, refunds, and subscription administration. Subscriptions renew automatically for the selected interval unless canceled before renewal. You authorize the applicable charges and are responsible for taxes that are not collected at checkout.
You can cancel through the billing controls made available to you. Unless required by law or stated at checkout or in an Order Form, cancellation stops future renewal and does not refund a current billing period. We may change prices prospectively with notice required by law.
7. Suspension and termination
You may stop using the service or request deletion at any time. We may suspend or terminate access when reasonably necessary to address non-payment, material breach, security risk, unlawful use, or harm to the service or others. When practical, we will give notice and an opportunity to resolve the issue. Terms that by their nature should survive termination will survive, including payment obligations, ownership, disclaimers, liability limits, and dispute terms.
8. Service disclaimers
To the maximum extent permitted by law, PermitLoom is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not warrant the accuracy of user-entered data, third-party sources, regulator information, reminders, or calculated readiness indicators. Nothing in these terms limits a warranty or right that cannot lawfully be limited.
9. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunity. PermitLoom’s aggregate liability arising from the service will not exceed the amount paid for the service during the 12 months before the event giving rise to the claim. For free use, the aggregate limit is US$100. These limits do not apply where they are prohibited by law, and an Order Form may state different negotiated limits.
10. Governing terms and disputes
Any Order Form may identify the contracting business entity, its notice details, governing law, and dispute forum. Where an Order Form applies, its provisions control over conflicting provisions in these terms. Where no Order Form identifies those details, mandatory consumer or local law may determine the applicable law and forum. Nothing here prevents either party from seeking urgent relief to protect systems, confidential information, or intellectual property.
11. General terms and contact
You may not assign these terms without our written consent, except in connection with a merger or sale of substantially all relevant assets. We may assign them as part of a reorganization or business transfer. If one provision is unenforceable, the rest remain in effect. A delay in enforcement is not a waiver. These terms, the Privacy Policy, any checkout terms, and any Order Form are the agreement concerning the service.
Questions about these terms can be sent to support@permitloom.com.
